AUDITORS REPORT

 

 

The Audit Report for 01.01.2008-31.12.2008 period of the company is given below.

 

It has been concluded that the Liquidation Board register book that needs to be maintained by the company in relation to the liquidation process and the Board of Directors book that needs to be maintained due to the provisions of the Turkish Commercial Code and the other books, and files have been duly kept and prepared in accordance with the accounting terms and procedures of the partnership, the Articles of Association and the provisions of the Turkish Commercial Code, Execution and Bankruptcy Act, Law No. 6183 and all other relevant legislations.

 

It has been understood that the values indicated in the inventory, balance sheet, profit and loss statements are in compliance with the book records and that such inventory, balance sheet and profit-loss statements have been prepared in accordance with the Articles of Association, Commercial Code, Execution and Bankruptcy Act, Law No. 6183, Judicial Convictions and Doctrines and other relevant legislations.

 

It has been inferred that the company balance sheet and the profit-loss statement presented to the General Assembly by the Board of Directors have been prepared in accordance with the transparency and accuracy principles set forth in article 75 of the Turkish Commercial Code and in consistency with the official book records.

 

It has been understood that the decisions related to management of the company have been entered into the judgment books of the Liquidation Board and the Board of Directors.

 

It has been understood that the decisions taken and procedures carried out during the liquidation process have been sent to the Ministry of Industry and Commerce, İslam Kalkınma Bankası (Islamic Development Bank) and to İhlas Pazarlama A.Ş. every month on a regular basis, and that the information and documents requested by the Capital Markets Board and the Banking Regulation and Supervision Agency have been sent to the relevant Boards.

 

Consequently, we hereby certify that the company operations and activities summarized in the Annual Report of the Board of Directors and the Annual Report of the Liquidation Board have been carried out in compliance with the truthful facts and the relevant legislative provisions and kindly ask for negotiation of the discharge of the Board of Directors and Liquidation Board by the esteemed General Assembly.
